
Compliance and Corporate Affairs Manager

The successful candidate will be responsible for a range of administrative tasks, including preparing agendas for board meetings, maintaining accurate records, and ensuring compliance with all relevant laws and regulations.
Key Responsibilities- Board and General Meetings
- Organize and manage the process of calling and holding annual general or special meetings, advising on matters to be raised at the meeting for shareholder vote and policies regarding Corporate Social Responsibility.
- Collaborate with the line manager to prepare agendas and other documents for board meetings.
- Communicate decisions made to relevant stakeholders, maintain accurate records of meetings and actions taken.
- Corporate Compliance and Audit
- Develop and implement systems to ensure company compliance with provisions of Ordinance and rules, legal and statutory requirements.
- Work closely with external regulators and advisers to ensure compliance with all relevant laws and regulations.
- Manage the submission of audited accounts, balance sheet, and auditor's reports to the Registrar of Companies within 10 months of the end of the organization's financial year.
- Corporate Record and Shareholding Matters
- Maintain accurate records of shareholders and monitor changes in share ownership of the company.
- Manage the allotment of shares, issuance of share certificates, and conduct appropriate activities connected with share transfers.
- Legal Matters
- Ensure legal protection and comply with all relevant laws and regulations.
- Keep under review all legal and regulatory developments affecting the Company's operations.
- Oversee the development and maintenance of Registers of all applicable laws/Regulations and which function is responsible for implementation (Legal Matrix/Register).
Other tasks as assigned by the Company Secretary/Head Legal.
