The purpose of the Legal Manager role is to provide comprehensive legal advice and support to ensure the bank's operations, contracts, and transactions comply with applicable laws and regulations. This includes drafting, reviewing, and negotiating various agreements, managing legal risks, and ensuring adherence to corporate governance standards. The Legal Manager also collaborates with other departments to integrate legal considerations into decision-making processes and supports the Board of Directors and senior management in fulfilling their governance responsibilities.

Key Result Areas:

  • Identify and assess legal risks associated with the bank's operations and provide advice on mitigating these risks.
  • Assist in the development and implementation of legal policies, procedures, and systems to enhance the bank's legal and regulatory compliance.

Operating Environment, Framework and Boundaries, Working Relationships:

  • Office environment, with occasional travel required for court appearances, client meetings, or regulatory consultations.
  • Provide legal advice and guidance on a wide range of matters including banking operations, lending, securities, contracts, and regulatory compliance.
  • Monitor changes in laws and regulations and advise the bank on necessary actions to ensure compliance.
  • Draft, review, and negotiate various contracts and agreements, including loan agreements, service contracts, vendor agreements, MOUs, NDAs, and more.
  • Ensure that the bank adheres to corporate governance standards and practices.
  • Coordinate with other departments to ensure legal considerations are integrated into decision-making processes.
  • Support the Board of Directors and senior management in fulfilling their governance responsibilities.
  • Manage the legal aspects of commercial transactions and ensure that the bank's interests are protected in all contractual matters.

  • Identify and assess legal risks associated with the bank's operations.
  • Provide advice on mitigating legal risks.
  • Excellent analytical, problem-solving, and decision-making skills.

Decision Making Authority & Responsibility:

  • Provide legal advice and guidance on a wide range of matters.
  • Draft, review, and negotiate various contracts and agreements.
  • Manage the legal aspects of commercial transactions.
  • Ensure that the bank adheres to corporate governance standards and practices.

Knowledge, Skills and Experience:

  • Qualifications:
  • Bachelor's degree in Law (LLB)/Master's degree in Law (LLM) from a recognized institution.
  • At least 5 years of experience with a focus on banking, finance, or corporate law.
  • Strong knowledge of banking laws, financial regulations, and corporate governance standards.
  • Preferred Skills:
  • Experience working in a legal department within a bank or financial institution.
  • Knowledge of international banking regulations and cross-border transactions.
  • Proficiency in legal research and use of legal databases.
