Counselor and Company Secretary

The Counselor and Company Secretary will lead and manage the Legal & Corporate Secretarial functions, ensuring compliance with regulatory requirements and providing strategic legal counsel to senior management and business units.

Main Responsibilities:

  • Manage legal risk, advising on risk mitigation strategies across contracts, transactions, and business decisions.
  • Lead litigation management, collaborating with external counsels as necessary.
  • Support with various local and international employment law issues.
  • Collaborate with the senior management team to provide proactive assistance to avoid any employment or labor court issues.
  • Organize board meetings, including the preparation of agendas, board packs, resolutions, and minutes.
  • Ensure statutory compliance, timely filings, and regulatory submissions.
  • Maintain corporate records and statutory registers, ensuring confidentiality and integrity.
  • Facilitate communication and governance best practices between management, board members, and stakeholders.

Key Skills and Qualifications:

  • LL.B/LL.M Degree from a reputable university.
  • 10-15 years of progressive experience in legal advisory roles.
  • In-depth knowledge of corporate governance frameworks, compliance requirements, and legal standards.
  • Excellent interpersonal, negotiation, and communication skills.
  • Strong leadership, analytical, and decision-making abilities.
  • Strategic thinker with the ability to influence senior stakeholders.
  • Exceptional organizational skills and attention to detail.
