As a strategic leader, the Head of Legal & Company Secretary will spearhead the Legal & Corporate Secretarial functions. This role requires deep legal expertise, strategic thinking, leadership, and exceptional interpersonal skills.

Key Responsibilities:
  1. Provide authoritative legal counsel to senior management, the Board, and business units.
  2. Oversee compliance with applicable laws, regulations, and corporate governance standards.
  3. Manage legal risk, advising on risk mitigation strategies across contracts, transactions, and business decisions.
  4. Lead litigation management, collaborating with external counsels as necessary.
  5. Support local and international employment law issues, working with senior management to prevent employment or labor court issues across all territories.
  6. Organize and manage board meetings, including preparing agendas, board packs, resolutions, and minutes.
  7. Ensure statutory compliance, timely filings, and regulatory submissions with relevant authorities.
  8. Maintain and update corporate records and statutory registers, ensuring confidentiality and integrity.
  9. Facilitate communication and governance best practices between management, board members, and stakeholders.
  10. Lead contract negotiations, drafting, review, and management, aligning with business objectives and minimizing risk.
  11. Develop and implement standardized contract templates and policies.
  12. Champion corporate governance initiatives and ethical standards across the organization.
  13. Drive awareness and training programs on compliance, governance, and legal issues.
  14. Advise on mergers, acquisitions, joint ventures, and strategic alliances, handling due diligence and transaction structuring.
  15. Provide legal support for fundraising, investment rounds, and financial transactions.
  16. Build, develop, and manage a high-performing legal team, fostering continuous professional growth.
  17. Establish clear objectives, monitor performance, and mentor team members.
