Job Description

We are seeking an experienced Compliance and Governance Expert to oversee and manage governance processes, company policy, and compliance with government regulatory bodies.

This role involves close collaboration with senior management to provide legal advice on regulatory requirements and develop a framework for identifying, managing, and reporting AML & CFT sanctions, as well as addressing compliance and regulatory issues/investigations.

Main Responsibilities:

  • Strategic Business Model Development: Drive market innovation, positive disruption, and sustainable growth through strategic business models, including within the Real Estate Investment Trust (REIT) sector.
  • Corporate Legal Advice: Provide counsel to senior management on corporate legal matters, legislative and regulatory developments across commercial operations, human resources, audit, taxation, financial markets, capital markets, and other strategic areas.
  • FDI Portfolio Management: Oversee and manage foreign direct investment (FDI) portfolios for all Pakistan-based group entities, ensuring compliance with the State Bank of Pakistan (SBP) and the Securities and Exchange Commission of Pakistan (SECP) for remittance and registration.
  • Compliance Framework Establishment: Develop and implement a comprehensive compliance framework aligned with local and international regulatory requirements, ensuring adherence to financial, real estate, and capital market regulations.
  • REIT Regulatory Obligations: Ensure full compliance with REIT-related regulatory obligations, including structuring, governance, investor protection, and reporting requirements in accordance with SECP and other relevant authorities.
  • Regulatory Challenges: Address compliance and regulatory challenges, manage investigations, and mitigate legal and financial risks across the business.
  • Regulatory Engagement: Engage with local and international regulatory bodies (Abu Dhabi Global Market, Dubai International Financial Centre, Dubai Real Estate Regulatory Agency, SECP, SBP, Competition Commission of Pakistan, and Intellectual Property Organization of Pakistan) to strengthen corporate governance, policy development, and compliance measures.
  • AML/CFT Sanctions Compliance: Develop and oversee frameworks for Anti-Money Laundering (AML), Counter Financing of Terrorism (CFT), sanctions compliance, and corporate risk management.
  • Legal Audits and Due Diligence: Conduct legal audits and due diligence across business functions, ensuring regulatory alignment and operational integrity.
  • CORPORATE SECRETARIAL FUNCTIONS: Manage corporate secretarial functions to uphold timely and effective corporate governance practices.
  • Legal Training: Design and deliver legal training sessions to enhance regulatory awareness and compliance culture within the organization.
  • Document Preparation: Draft, review, and negotiate legal documents, contracts, and regulatory submissions, ensuring alignment with legal and business objectives while safeguarding corporate interests.

Requirements

  • Education: LLB; LLM (Preferably Advanced High Court Licence)
  • DTP (SECP): A plus
