About the Job Opportunity

We are seeking an experienced Corporate Lawyer to join our team. As a key member of our legal department, you will play a vital role in ensuring that all aspects of the organization's business are thoroughly managed and serviced.

Key Responsibilities:
  • Review and Evaluation:
    • Conduct thorough research and analysis of statutes, regulations, case law, and contractual provisions to support senior management in decision-making and strategy development.
    • Draft and negotiate terms of contracts and agreements to protect the organization's interests.
    • Assess contracts, agreements, and legal documents for compliance with applicable laws and regulations.
    • Go through the organization's land lease agreements and resolve any issues pertaining to these.
    • Identify potential legal risks and liabilities in business transactions and operations.
    • Provide recommendations to mitigate legal risks and ensure legal compliance.
  • Opinion and Interpretation:
    • Analyze legislations, laws, and rulings to provide written and oral opinions on their interpretation and implications.
    • Prepare legal memoranda, briefs, and other documents summarizing legal analysis and conclusions.
    • Collaborate with colleagues and external experts to develop comprehensive legal opinions.
    • Present legal opinions and interpretations to management and stakeholders to address any legal issues.
  • Advisory:
    • Interpret and explain complex legal concepts and regulations in a clear and understandable manner.
    • Assess proposed actions and transactions to perceive legal implications and risks.
    • Advise on legal compliance strategies and best practices to address adversarial outcomes.
    • Take a proactive approach in addressing legal obligations.
  • Corporate Governance:
    • Advise on corporate governance matters, including board composition, structure, and responsibilities.
    • Advise and monitor corporate governance best practices suitable for a private limited entity.
    • Oversee board and committee meetings, including preparation of agendas and meeting materials.
    • Provide training and guidance to board members and executives on their roles and responsibilities.
    • Maintain corporate governance documents and records, such as charters, policies, and disclosures.
    • Act as the Board Secretary, maintaining and following up on the minutes of the Board and Committees meetings.
  • Representing the Company:
    • File Trademark registration and plead any cases related to copyrights by hiring an attorney.
    • Oversee litigation against counterfeit brands in judicial courts and ensure the enforcement of orders for the ending of counterfeit or similar brand production.
    • Handle all labor-related legal cases representing the company and drive these to conclusion.
    • Collaboratively address any inquiries from Customs in conjunction with the Finance and Supply Chain departments, actively participating in the resolution of all legal notices and issues.
    • Respond to any legal notices arising from EPA, related to Factories ACT, EOBI, SESSI, SFA, or PAFI, in collaboration with the concerned department.
    • Plead cases filed by various interested parties, including but not limited to distributors and consumers.
    • Resolve any issues pertaining to the organization's land lease agreements.
  • Regulatory Compliance:
    • Monitor changes in laws, regulations, and industry standards affecting the organization.
    • Assess the impact of regulatory developments on the organization's operations and activities.
    • Develop and implement compliance programs and policies to ensure adherence to legal requirements.
    • Ensure compliance with the Company's ACT and provide support for DTRE compliances.
    • Evaluate compliance with applicable laws and regulations based on internal audit findings.
    • Coordinate with regulatory agencies on compliance matters and inquiries.
  • Due Diligence:
    • Conduct legal due diligence reviews of potential business transactions and major business decisions.
    • Identify and assess legal risks and liabilities associated with proposed transactions.
    • Prepare due diligence reports outlining findings, risks, and recommendations for decision-makers.
    • Collaborate with other professionals, such as financial advisors and accountants, to conduct comprehensive due diligence assessments.
    Requirements:
    • Bachelor's Degree in Law or other relevant field.
    • At least 8+ years of experience in Corporate Law.
    • Highly developed organizational abilities.
    • Strong communication skills.
    Work Schedule:
