
Senior Legal Advisor – Commercial Transactions

- Drafting and managing all types of commercial agreements required for the business.
- Managing litigation, both in-house and through instructing and managing external counsel, and representing the Company before the appropriate courts.
- Assisting the Finance Director with filing statutory returns with local authorities (SECP) and coordinating with Directors and other stakeholders to arrange necessary documentation.
- Assisting the Finance Director in resolving legal discrepancies and addressing notices from SECP.
- Managing the Company's contracts database on a day-to-day basis, including migration from the current provider to an internal system.
- Liaising with the Accounts team to process legal services invoices and maintain updated legal records.
- Supporting the implementation of Company policies aimed at meeting regulatory obligations.
- Overseeing legal administrative functions, including document archiving, meeting room bookings, issuing the weekly legal movement sheet, and filing.
- Managing relationships with external counsel and law firms.
- Advising management on industrial relations matters, including coordination with legal advisors to defend cases filed by workers in labour courts.
- Assisting management on intellectual property matters, coordinating with external counsel and business, and working with legal advisors and trademark attorneys to file or defend infringement and passing-off cases.
- Filing legal cases against customers and suppliers (e.g., for recoveries, breaches of contract, trademark violations), and against local authorities (e.g., Sindh Revenue Board, SITE Land Authority, SESSI, EOBI, utility companies).
- Handling and responding to show cause notices received from local authorities such as the State Bank of Pakistan (e.g., export payments) and the Sindh Revenue Board.
- Providing support in matters related to WPPF (Workers' Profit Participation Fund), WWF (Workers' Welfare Fund), and associated litigation.
- Assisting during audits conducted by local authorities, including those related to stamp duty and sales tax.
- Supporting the Company in ensuring regulatory and legal compliance with both Company policies and procedures and State laws and regulations.
- Conducting legal research.
- Facilitating the execution of agreements and compliance statements and supporting the preparation of mid-year and year-end litigation reports across the group.
- Providing legal support on large-scale corporate projects, including assisting external counsel in sourcing relevant legal documents and helping meet regulatory obligations.
Required Skills and Qualifications:
- Bachelor of Laws (LLB) from a recognized institution.
- Completion of the Company Secretary course will be considered an added advantage.
- 7–8 years of relevant legal experience, preferably within the manufacturing industry.
- Proven track record of legal training at a reputable law firm, combined with in-house counsel experience in a corporate environment.
- Strong background in commercial contracts, regulatory compliance, and corporate governance.
