Title: Associate Director, Company SecretariatJob Summary
Establishing and maintaining effective systems and controls to monitor and direct the working of the department.
Key Responsibilities- Prepare and distribute Board/ Board committee meeting packs.
- Ensure timely circulation of meeting agendas, minutes, and related documents.
- Draft accurate and comprehensive minutes of Board/ Board committee(s) meetings.
- Ensure compliance with the Corporate Governance Regulatory Framework, PSX Rulebook, Code of Corporate Governance, Companies Act 2017, and other relevant laws.
- Assist in the development and implementation of compliance policies and procedures.
- Support the Company Secretary in providing advisory services on corporate governance matters.
- Assist in the preparation and review of corporate governance reports and disclosures.
- Maintain and update risk registers and ensure effective risk management practices are in place.
- Manage the dividend payments to the shareholders and address their inquiries and concerns.
- Minimum working experience of 6 years in Banking industry or listed companies with experience in company secretariat department.
- Preferably ACCA/ I CMA / ISCP qualified or a holder of academic qualifications such as LLB/ MBA/ M. Com.
