What is Head of Contracts and Corporate Governance - MMBL?

The Head of Contracts and Corporate Governance (SVP) is responsible for leading the Legal Contract Management Department and supporting the Company Secretary in ensuring that the organization complies with all applicable laws, regulations, and governance requirements. This role serves as a strategic advisor to senior management and the Board, providing legal guidance on key business matters, managing legal risks, and supporting board and corporate governance functions.

What Head of Contracts and Corporate Governance - MMBL Does?

Legal:

  • Lead the legal contract management function across the organization, managing a team of in-house legal professionals.
  • Provide strategic legal advice to the CLO, senior management, and business units on corporate, commercial, regulatory, employment, and litigation matters.
  • Oversee the drafting, review, and negotiation of key contracts, agreements, and other legal documents.
  • Identify and mitigate legal risks and ensure legal compliance in all business activities.
  • Manage external counsel engagements and monitor legal costs and performance.

Governance and Company Secretarial:

  • Support the Company Secretary in organizing and managing Board and Committee meetings, including preparation of agendas, board papers, and minutes.
  • Ensure compliance with corporate governance standards, statutory filings, and regulatory disclosures.
  • Assist in the maintenance of statutory records, registers, and corporate documents.
  • Liaise with regulators, shareholders, and stakeholders on governance and legal matters.

Regulatory Compliance

  • Monitor and interpret developments in laws, regulations, and industry practices relevant to the organization.
  • Work closely with Compliance, Risk, and other functions to ensure adherence to applicable legal and regulatory requirements.
  • Lead legal due diligence and support regulatory audits, investigations, or inspections.

Leadership and Collaboration

  • Develop and implement policies, procedures, and training to promote legal awareness and good governance across the organization.
  • Foster a culture of integrity, professionalism, and accountability within the legal and governance functions.

What are we looking for and what does it require to be Head of Contracts and Corporate Governance - MMBL?

Educational Background

  • Qualified lawyer with a recognized legal qualification (e.g., LLB, JD, Bar, or equivalent).
  • Associate or Fellow of a recognized corporate governance or company secretarial body (e.g., ICSA, CGI) – preferred.

Experience

  • Minimum 10–12 years of relevant legal and governance experience.
  • At least 3 years in a senior leadership role.
  • Proven experience managing legal teams.
  • Experience working with senior executives and boards.
  • Strong understanding of corporate law, regulatory frameworks, financial services, and corporate governance.

Technical Proficiency

  • Strong analytical, negotiation, and drafting skills.
  • In-depth knowledge of corporate governance and legal regulatory frameworks.

Soft Skills

  • Strategic thinking and sound judgment.
  • Excellent leadership, communication, and interpersonal skills.
  • High level of integrity, discretion, and professional ethics.
  • Ability to work under pressure and manage multiple priorities.
