Corporate Governance Specialist

As a key member of our corporate governance team, you will play a vital role in ensuring the smooth operation of our company. Your primary responsibility will be to assist in arranging and managing annual general or special meetings, advising on matters for shareholder vote and Corporate Social Responsibility policies.
Key Responsibilities:- Board and Annual General Meetings: Assist line manager in preparing agendas, documents, and reviewing corporate governance, accounting, and tax implications.
- Corporate Compliance and Audit: Develop and oversee systems to ensure company compliance with laws and regulations, liaise with external regulators and advisers.
- Corporate Record: Maintain records of shareholders, monitor changes in share ownership, and archive corporate records.
- Shareholding Matters: Carry out allotments, issuance of share certificates, and maintenance of statutory Share Register.
- Legal Matters: Assess legal documents, ensure legal protection, and review legal and regulatory developments.
- Preferably Law (LLB), ACCA, M.Com/MBA, Member of the Institute of Corporate Secretaries or B.Com/BBA degree from a reputable institution.
- Minimum 2-3 years of PQE.
- Thorough understanding of corporate law.
- Strong PC skills in MS Office.
- Strong analytical, interpersonal communication, and time management skills.
