Job Title: Governance Specialist

We are seeking an experienced Governance Specialist to support our organization's compliance with corporate governance regulations, laws, and internal policies.

The ideal candidate will have a strong understanding of corporate governance principles, excellent communication skills, and the ability to maintain accurate records.

This is an exciting opportunity for a detail-oriented individual to contribute to the success of our organization.

  • Key Responsibilities:
    • Prepare Board and Committee agendas, papers, and minutes.
    • Coordinate logistics for meetings, including scheduling and venue booking.
    • Maintain accurate records of resolutions, decisions, and follow-up actions.
    • Track and monitor action items to ensure timely closure.
  • Statutory & Regulatory Compliance
    • Maintain statutory registers, records, and filings in compliance with the Companies Act and other relevant laws.
    • Assist in preparing and filing forms and returns with regulatory bodies.
    • Support periodic reporting to government agencies.
    • Monitor developments in corporate law and governance regulations.
  • Corporate Governance Improvement
    • Identify and implement improvements to corporate governance processes.
    • Benchmark best practices and embed them into governance structures.
    • Contribute to initiatives that enhance transparency, accountability, and compliance.
  • Required Skills & Qualifications:
    • Bachelor's degree in Law, Commerce, Business Administration, or a related field.
    • Up to one (1) year of relevant experience in corporate governance or related areas.
  • Desired Skills & Abilities:
    • Basic understanding of corporate governance principles.
    • Excellent verbal and written communication skills.
    • Strong attention to detail, accuracy, and organizational skills.
    • Proficiency in Microsoft Office Suite.
    • Ability to handle confidential information.
