The Head of Legal & Company Secretary at Confiz Group will lead and manage the Legal & Corporate Secretarial functions, ensuring compliance with regulatory requirements, advising the Board of Directors, managing risk effectively, and contributing strategically to the group's business objectives. This role requires deep legal expertise, strategic thinking, leadership, and exceptional interpersonal skills.
Key Responsibilities:- Provide strategic legal counsel to senior management, the Board, and business units.
- Oversee compliance with applicable laws, regulations, and corporate governance standards.
- Manage legal risk, advising on risk mitigation strategies across contracts, transactions, and business decisions.
- Lead litigation management, collaborating with external counsels as necessary.
- Support local and international employment law issues, working with senior management to prevent employment or labor court issues across all territories.
- Organize and manage board meetings, including preparing agendas, board packs, resolutions, and minutes.
- Ensure statutory compliance, timely filings, and regulatory submissions with SECP and other bodies.
- Maintain and update corporate records and statutory registers, ensuring confidentiality and integrity.
- Facilitate communication and governance best practices between management, board members, and stakeholders.
- Lead contract negotiations, drafting, review, and management, aligning with business objectives and minimizing risk.
- Develop and implement standardized contract templates and policies.
- Champion corporate governance initiatives and ethical standards across the group.
- Drive awareness and training programs on compliance, governance, and legal issues.
- Advise on mergers, acquisitions, joint ventures, and strategic alliances, handling due diligence and transaction structuring.
- Provide legal support for fundraising, investment rounds, and financial transactions.
- Build, develop, and manage a high-performing legal team, fostering continuous professional growth.
- Establish clear objectives, monitor performance, and mentor team members.
- LL.B/LL.M Degree from a reputable university, with qualification as a Company Secretary (preferred).
- 10-15 years of progressive experience in legal advisory and company secretarial roles, preferably within the technology, software, or professional services sector.
- In-depth knowledge of corporate governance frameworks, compliance requirements, and legal standards in Pakistan and internationally.
- Excellent interpersonal, negotiation, and communication skills.
- Strong leadership, analytical, and decision-making abilities.
- Strategic thinker with the ability to influence senior stakeholders.
- Exceptional organizational skills and attention to detail.
- Ability to handle sensitive and confidential information with discretion and integrity.
