Job Title: Senior Corporate Governance Specialist

This role requires a highly organized and detail-oriented individual to oversee the company's corporate governance, ensuring compliance with all relevant laws and regulations.

  • Key Responsibilities:
  • To assist in arranging and managing the process of calling and holding annual general or special meetings.
  • To prepare agendas and documents for board of directors' meetings.
  • To deal with correspondence, collate information, and write reports to communicate decisions to relevant stakeholders.
Corporate Compliance
  • Develop and Oversee Systems:
  • To ensure company compliance with provisions and legal requirements.
  • To liaise with external regulators and advisers.
  • To submit audited accounts and reports within prescribed time frames.
Record Management
  • Maintain Accurate Records:
  • Of shareholders and monitor changes in share ownership.
  • Properly archive corporate and other records.
  • Keep records of certificate of Incorporation, Memorandum, and Articles of Association.
Shareholding Matters
  • Manage Shareholding:
  • Carry out matters concerned with allotment of shares, issuance of certificates, and maintenance of statutory Share Register.
  • Facilitate payment of dividends and share option schemes.
  • Prepare and vet agreements, leases, and official documents.
Legal Affairs
  • Ensure Legal Compliance:
  • Assess legal documents and ensure protection.
  • Keep review of all legal and regulatory developments affecting operations.
  • Oversee legal requirements of allotment, issuance, and transfer of share certificates.
