The Role:
The Manager Corporate plays a critical role in ensuring compliance with legal and regulatory requirements, supporting corporate governance and facilitating effective communication between the company's management, board of directors, and shareholders. This position is responsible for assisting the Company Secretary in managing various corporate secretarial functions and providing guidance on corporate governance matters.
Your impactful goals will include:
- Support the Company Secretary in fulfilling statutory obligations under the Companies Act, 2017, SECP rules, regulations, SROs and notifications, including timely filings and maintenance of corporate records/repository.
- Facilitate effective governance by managing board and shareholder meetings, from scheduling and documentation to drafting minutes and resolutions.
- Assistance to Company Secretary on corporate secretarial matters, governance practices, and regulatory developments.
- Liaise with regulators (e.g. SECP) and ensure smooth coordination on corporate filings, inspections, and compliance requirements.
- Support business decision-making by reviewing and advising on corporate documentation, legal authorizations and delegated authorities.
Your typical day at work / Key Responsibilities:
1. Corporate Governance
- Assist in developing and implementing corporate governance policies and procedures;
- Support the preparation and dissemination of board and committee meeting materials, including agendas, minutes, resolutions, and follow-up actions;
- Ensure compliance with statutory and regulatory requirements related to corporate governance;
- Maintain up-to-date knowledge of corporate governance best practices and evolving regulatory standards.
2. Compliance and Legal Matters
- Assist in ensuring compliance with applicable laws, regulations, and corporate policies;
- Monitor changes in legislation and regulations that impact the company's operations and advise relevant stakeholders on implications;
- Conduct legal research and provide guidance on legal and compliance issues;
- Coordinate with internal stakeholders to address legal and compliance-related queries;
3. Shareholder Relations
- Assist in managing shareholder relations, including communication, inquiries, and requests;
- Facilitate the organization and administration of shareholder meetings (AGMs/EOGMs), ensuring compliance with relevant regulations, issuance of notices, drafting of minutes and handling shareholder queries;
- Support the preparation and distribution of shareholder communications, such as annual reports and proxy statements.
4. Board and Committee Support
- Assist in organizing and coordinating board and committee meetings, including logistics, agendas, and meeting materials;
- Support in drafting, reviewing and maintaining resolutions, powers of attorney, corporate approvals and delegated authorities in accordance with internal governance frameworks;
- Draft accurate and timely minutes for board and committee meetings;
- Facilitate communication between the board of directors and executive management.
5. Records and Documentation
- Maintain accurate and up-to-date centralized repository of corporate records, statutory registers, ensuring audit readiness and secure storage;
- Maintain board and committee records, including resolutions, charters, and policies;
- Ensure proper filing and documentation of legal and corporate secretarial records.
6. Stakeholder Engagement
- Liaise with external regulators including SECP, PTA, SBP and other government bodies for licensing, filings, inspections and queries;
- Collaborate with internal departments and external stakeholders to support effective communication and engagement;
- Participate in internal audits, governance assessments and compliance reviews, also support in closure of action items;
- Coordinate with external auditors during statutory and special audits involving secretarial and corporate records;
- Serve as a point of contact for external legal advisors and consultants on corporate secretarial matters.

What we're looking for?
Education: LLB / MBA (with specialization in Corporate Law or Governance).(Masters in Law / Business and Member of ICSP (Institute of Corporate Secretaries of Pakistan), ICSA (Institute of Chartered Secretaries and Administrators) / CGI (Chartered Governance Institute) or any other related membership / certification will be added advantage.)
Work experience:
- Minimum 5 years of experience in company secretarial, legal, or corporate compliance roles
- Experience in corporate secretarial functions within the telecommunications industry or a similar sector is desirable.
- Work experience with SECP e-Services portal and regulatory filing requirements is essential
Functional Skills/Knowledge Areas:
- In-depth knowledge of the Companies Act, 2017, SECP rules, regulations, SROs & notifications, corporate governance and related enactments.
- Excellent drafting, documentation and communication skills, with the ability to draft clear and concise reports, minutes, and other corporate documents.
- High integrity, professionalism, sound judgment and ability to handle sensitive and confidential information.
- Strong organizational skills and attention to detail.
- Creative problem-solving and decision making
- Proficient in relevant software applications, including MS Office (Word, Excel, PowerPoint), corporate governance software and document management systems.
- Strong interpersonal skills and the ability to build effective working relationships across different levels of the organization
