Job Description:

We are seeking an experienced commercial lawyer to join our team. The ideal candidate will have a strong background in contract law, with experience working with multinational companies. The role involves providing support in structuring, drafting and negotiating commercial agreements, including software license agreements, terms and conditions, service agreements, partnership agreements and time-sensitive tenders and RFQ's.

The successful candidate will also provide administrative support for documents and activities related to corporate restructurings, such as mergers, acquisitions and formations. They will also be involved in the company's acquisition activities, including participating in contract review in due diligence, preparing ancillary agreements and internal contribution agreements for acquisitions, and assisting in post-acquisition integration efforts.

Liaising with outside firms to oversee preparation, filing, organization and maintenance of corporate books and records is also a key aspect of the role. Additionally, the candidate will assist in matters involving creation and maintenance of corporate subsidiaries, including entity formation, entity dissolution, entity foreign qualifications, obtaining DBAs, and coordinating obtaining EINS and preparation of W-9s with tax and compliance.

Excellent drafting and negotiating skills, as well as the ability to handle a high volume of competing demands, are essential for this role. Adaptability, business acumen, prioritization and workload management skills are also highly valued. Strong interpersonal and communication skills are required, with the ability to effectively communicate complex issues orally and in writing.

Required Skills and Qualifications:

  • A law degree from a reputable university
  • 5-8 years of corporate/commercial legal experience working for multinational or transnational companies
  • Experience involving commercial contracting, especially involving software or intellectual property
  • Excellent drafting and negotiating skills
  • Ability to work independently and collaboratively with clients
